Affiliate & Community Partner Terms

These Affiliate & Community Partner Terms ("Terms") govern participation in the TLDR Parents Affiliate & Community Partner Program (the "Program") operated by TLDR Parents, Inc., a Delaware corporation ("TLDR Parents," "we," "us," or "our"), the company that operates the Penny service ("Penny").

By applying to, being accepted into, or participating in the Program, you ("Partner," "you," or "your") agree to these Terms. If you do not agree, do not participate in the Program.

1. Program Participation

Participation in the Program is subject to approval by TLDR Parents. We may accept or reject any application in our discretion.

Partners may include individuals, parent organizations, PTOs, schools, nonprofits, community organizations, publishers, creators, and other organizations approved by TLDR Parents.

We may establish different commission rates, attribution periods, payment terms, or other commercial terms for different Partners.

2. Program Details

When you are accepted into the Program, TLDR Parents will provide you with your applicable Program Details, which may include:

  • your Partner name and Partner Code;
  • your referral link or other tracking mechanism;
  • your commission rate;
  • the applicable attribution period;
  • the products or subscriptions eligible for commission;
  • the period for which commissions are earned;
  • payment frequency; and
  • any applicable minimum payment threshold.

Your Program Details are incorporated into these Terms. If your Program Details conflict with these Terms, your Program Details control with respect to the applicable commercial terms.

3. Referral Tracking and Attribution

TLDR Parents will provide Partners with a Partner Code, referral link, or other mechanism for tracking referrals.

A transaction is eligible for commission only when it is attributed to the Partner through TLDR Parents' tracking systems in accordance with the Program Details.

TLDR Parents' records will determine referral attribution and commissions, absent manifest error.

Partners may not manipulate, obscure, redirect, or otherwise interfere with referral tracking or attribution.

4. Commissions

Commission. Partners will earn the commission specified in their Program Details on qualifying transactions attributed to them.

Net Revenue. Unless otherwise specified in the Program Details, commissions are calculated on Net Revenue actually retained by TLDR Parents. Net Revenue excludes taxes, refunds, credits, chargebacks, fraudulent transactions, and other amounts not retained by TLDR Parents.

Reversals. TLDR Parents may reverse or withhold commissions attributable to refunded, cancelled, fraudulent, disputed, duplicate, or otherwise invalid transactions.

5. Payment

Payment Schedule. Commissions will be calculated and paid according to the payment schedule and minimum payment threshold specified in the Partner's Program Details.

Minimum Threshold. Amounts below the applicable minimum payment threshold will roll forward until the threshold is reached.

Tax Documentation. Most Partners, including tax-exempt nonprofit organizations, PTOs, and schools, will not need to provide tax documentation to receive payments. TLDR Parents may require a completed Form W-9 or other appropriate tax documentation before issuing payments only where required by law, such as for individual or for-profit Partners that meet applicable IRS reporting thresholds. Each Partner is responsible for accurately representing its own tax status, including any tax-exempt status it claims, and for providing any documentation TLDR Parents reasonably requests to confirm that status.

Taxes. Partners are responsible for any taxes arising from commissions they receive.

6. Promotion of Penny

Partners may promote Penny using their referral link, Partner Code, and TLDR Parents-approved marketing materials through their own websites, email communications, newsletters, social media, community communications, and similar channels.

Partners must:

  • accurately describe Penny and its capabilities;
  • comply with applicable laws and regulations;
  • use TLDR Parents-provided marketing materials in accordance with any applicable usage guidelines; and
  • clearly disclose their financial relationship with TLDR Parents when required by applicable law.

Partners must not make claims about Penny that are false, misleading, or unsupported.

Partners must not represent that they are employees, agents, or official representatives of TLDR Parents unless expressly authorized.

7. Affiliate Disclosure

Partners must clearly and conspicuously disclose their material financial relationship with TLDR Parents when promoting Penny where required by applicable law.

For example:

Disclosure: We may earn a commission if you sign up for Penny through our link.

TLDR Parents may provide additional disclosure guidance that Partners are required to follow.

8. Prohibited Activities

Partners may not:

  • generate fraudulent or misleading referrals, clicks, or transactions;
  • manipulate or interfere with referral tracking;
  • use automated methods to generate referrals;
  • engage in spam or unlawful unsolicited commercial communications;
  • make false or misleading claims about Penny;
  • impersonate TLDR Parents or Penny;
  • register domains, social-media accounts, or other properties that could reasonably be confused with TLDR Parents or Penny;
  • bid on TLDR Parents or Penny trademarks in paid search without our written permission;
  • use TLDR Parents or Penny trademarks in paid advertising without our written permission; or
  • engage in any activity intended to circumvent the Program or improperly obtain commissions.

9. Trademarks and Marketing Materials

TLDR Parents grants Partners a limited, non-exclusive, revocable license to use approved TLDR Parents and Penny names, logos, images, and marketing materials solely to promote Penny through the Program.

Partners may not modify TLDR Parents or Penny logos or create materials that imply an endorsement, sponsorship, partnership, or affiliation beyond participation in the Program.

All rights not expressly granted to Partners remain with TLDR Parents.

10. Customer Information

A Partner does not receive ownership of or access to a customer's account information, email, calendar information, payment information, or other personal information merely because that customer was referred by the Partner.

Partners may not collect, use, sell, or share customer information obtained through the Program except as permitted by applicable law and the Partner's own privacy obligations.

11. Termination

Either TLDR Parents or a Partner may end the Partner's participation in the Program at any time.

TLDR Parents may immediately suspend or terminate a Partner's participation if we reasonably believe the Partner has violated these Terms, applicable law, or the Program's usage guidelines, or has engaged in fraud, abuse, or conduct that could harm TLDR Parents, Penny, or our customers.

Commissions validly earned before termination remain payable, subject to these Terms and any applicable refund, cancellation, chargeback, or other reversal period.

Upon termination, the Partner must stop using TLDR Parents and Penny trademarks, referral links, Partner Codes, and Program marketing materials.

12. Changes to the Program

TLDR Parents may modify, suspend, or discontinue the Program or any aspect of it.

We may change commission rates, attribution rules, qualifying transactions, payment terms, or other Program Details prospectively upon reasonable notice.

Changes will not retroactively reduce commissions that were validly earned before the effective date of the change.

13. Independent Relationship

Participation in the Program does not create an employment, agency, partnership, joint venture, franchise, or other legal relationship between TLDR Parents and a Partner.

Partners are independent contractors and have no authority to make commitments on behalf of TLDR Parents.

14. Relationship to Other TLDR Parents Terms

These Terms govern participation in the Affiliate & Community Partner Program.

The TLDR Parents Terms of Service govern use of the Penny Service. In the event of a conflict concerning participation in the Program, these Affiliate & Community Partner Terms control.

15. General

Entire Agreement. These Terms, together with the applicable Partner's Program Details and any other documents expressly incorporated by reference, constitute the agreement between TLDR Parents and the Partner concerning participation in the Program.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment. You may not assign these Terms or your participation in the Program without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, consistent with the governing-law provisions of the TLDR Parents Terms of Service.
