These Terms of Service ("Terms") govern your access to and use of the TLDR Parents service, including the website at hellopenny.ai, the application at app.hellopenny.ai, and any related products, features, and services (collectively, the "Service") operated by TLDR Parents, Inc., a Delaware corporation ("TLDR Parents," "we," "us," or "our").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 13 years old to create an account or use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
Certain features have additional age requirements. In particular, the SMS (text messaging) feature described in Section 9 is available only to users who are at least 18 years old.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to (a) provide accurate, current, and complete information when creating your account; (b) keep that information up to date; and (c) notify us promptly at support@hellopenny.ai if you suspect any unauthorized use of your account.
We use Auth0 to manage account authentication. You may also sign in using a third-party identity provider (such as Google). When you do, you authorize that provider to share certain information with us as described in our Privacy Policy.
TLDR Parents helps families stay organized by extracting school and activity events from your email and presenting them in a unified family calendar and daily briefing. To provide the Service, we connect to third-party services you authorize, such as Gmail and Google Calendar, and we process the contents of those services as described in our Privacy Policy and our Google API Services Usage Disclosure.
We may add, change, or remove features at any time. We will give you reasonable notice of material changes that adversely affect paid users.
When you connect a third-party service (such as a Google account) to TLDR Parents, you authorize us to access, process, and store information from that service as needed to provide the features you've enabled. You can disconnect a third-party service at any time through your account settings or directly through the provider (for example, at https://myaccount.google.com/security for Google).
Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. See our Google API Services Usage Disclosure for details.
Some features of the Service require a paid subscription. By subscribing, you agree to the pricing, payment terms, and billing frequency disclosed at checkout.
Payment Processing. Payments are processed by Stripe. We do not store full payment card details on our systems. By providing payment information, you agree to Stripe's terms of service and authorize us to charge the payment method you provide for the subscription you select, including any applicable taxes.
Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
Refunds. Except where required by law, fees paid for subscription periods that have already begun are non-refundable. If you believe you've been billed in error, contact us at support@hellopenny.ai.
Price Changes. We may change subscription prices from time to time. We will give you at least 30 days' notice of any price increase before it takes effect, and you may cancel before the new price applies.

We may suspend or terminate your account for any violation of these Terms.
You retain ownership of the email content, calendar data, and other information that you or your connected accounts make available to TLDR Parents ("Your Data").
You grant TLDR Parents a limited, non-exclusive, worldwide license to access, use, copy, process, transmit, and display Your Data solely as needed to provide the Service to you and to improve the Service in ways consistent with our Privacy Policy. We do not sell Your Data, and we do not permit our AI providers to train their models on Your Data.
You represent that you have the right to share Your Data with TLDR Parents and that doing so does not violate any law or any obligation you owe to a third party.
Your privacy matters to us. Our Privacy Policy explains what information we collect, how we use it, and the choices you have. By using the Service, you acknowledge that we will collect, use, and share information about you as described in the Privacy Policy.
TLDR Parents offers an optional SMS messaging service for users who want to receive their daily family briefing and account notifications by text message. This Section governs your use of that service. For the full consent flow, opt-in language, and screenshots of the consent checkbox, see our SMS Consent and Opt-In page.
Opt-In. SMS messaging is off by default. To receive SMS messages from TLDR Parents, you must (i) be at least 18 years old, (ii) provide a valid U.S. mobile phone number you are authorized to use, and (iii) affirmatively opt in by checking the dedicated SMS consent checkbox in your account settings. Consent to receive SMS messages is not a condition of using TLDR Parents or any other product or service we offer, and is separate from any other consent (including consent to receive email).
Message Content. The SMS service is transactional only. We use it to send (a) daily family briefings summarizing your upcoming school and activity events, (b) notifications about detected schedule changes, and (c) account-related notifications such as password changes, sign-in alerts, and billing confirmations. We do not send marketing or promotional messages through this service. If we offer promotional SMS in the future, it will be a separate, optional service requiring separate opt-in.
Frequency. You can expect approximately one daily briefing message, plus occasional account notifications. Message frequency may vary.
Message and Data Rates. Message and data rates may apply. TLDR Parents does not charge for SMS messages, but your wireless carrier may charge you for sending and receiving messages based on your mobile plan. Contact your carrier for details.
Opt-Out. You can stop receiving SMS messages at any time by replying STOP to any TLDR Parents text message, or by disabling SMS in your account settings at app.hellopenny.ai. After you opt out, we will send one confirmation message acknowledging your opt-out, after which no further SMS messages will be sent unless you opt in again. You can re-enable SMS by opting back in through your account settings or by replying START or UNSTOP.
Help. Reply HELP to any TLDR Parents message, or email support@hellopenny.ai, for help with the SMS service.
Carriers. SMS messages are supported on major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages. Message delivery depends on factors outside our control, including carrier availability, signal strength, and device condition.
Your Obligations. You represent and warrant that (i) you are at least 18 years old; (ii) the mobile phone number you provide is a valid U.S. mobile number that you are authorized to use; (iii) you will notify TLDR Parents promptly at support@hellopenny.ai if you change or relinquish that mobile number; and (iv) you will not use the SMS service in any unlawful manner. Providing a phone number you do not own or are not authorized to use violates these Terms and may violate federal and state law, including the Telephone Consumer Protection Act.
Changes to the SMS Service. We may modify or discontinue the SMS service at any time. Material changes affecting enrolled users will be communicated by SMS, email, or in-app notification before they take effect.
The Service and all content we provide (excluding Your Data) — including the software, design, text, graphics, logos, and trademarks — are owned by TLDR Parents or our licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, worldwide license to use them without restriction or compensation to you.
The Service integrates with third-party services such as Google, Stripe, Auth0, Twilio, and others. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. We are also not responsible for any third-party content that may be displayed within or linked from the Service.
You may stop using the Service and delete your account at any time through your account settings, or by emailing support@hellopenny.ai.
We may suspend or terminate your account at any time, with or without notice, if (a) you violate these Terms; (b) we are required to do so by law; (c) we discontinue the Service or a feature you use; or (d) your account has been inactive for an extended period.
Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including Sections 7 (User Content and Data), 10 (Intellectual Property), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), and 18 (Dispute Resolution) — will survive.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
TLDR Parents uses AI to extract events from your email. AI can make mistakes — events may be missed, misinterpreted, or duplicated. You should not rely on the Service as the sole source of truth for important family commitments. Always verify critical information from the original source.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TLDR PARENTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) U.S. $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
You agree to indemnify and hold harmless TLDR Parents and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) Your Data.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Except for the arbitration provisions in Section 18, the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute not subject to arbitration.
Please read this Section carefully. It affects your legal rights.
Informal Resolution. Before filing any claim, you agree to try to resolve the dispute informally by contacting us at support@hellopenny.ai. We will try to resolve the dispute by contacting you within 30 days. If we cannot, either party may proceed as set forth below.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Delaware or, at your election, by phone or video, or in the U.S. county where you live. Judgment on the award may be entered in any court of competent jurisdiction.
Class-Action Waiver. YOU AND TLDR PARENTS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Exceptions. Either party may bring an individual action in small-claims court. Either party may also seek injunctive relief in court to protect intellectual property rights.
Opt-Out. You may opt out of this arbitration agreement by emailing support@hellopenny.ai within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out." Opting out will not affect any other provision of these Terms.
We may update these Terms from time to time. If we make material changes, we will notify you by email, in-app notification, or by posting a notice on the Service before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.
Entire Agreement. These Terms, together with the Privacy Policy and any other agreements we link to, are the entire agreement between you and TLDR Parents regarding the Service.
Severability. If any provision of these Terms is found unenforceable, the rest will remain in effect.
No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
